Association of Corporate Counsel Foundation Women In The House Network (“WITH”) and Blank Rome LLP (“Blank Rome”) are pleased to present the Contracts Masterclass Series 2.0 (the “Series”) for the members of the WITH Association of Corporate Counsel Foundation. Below is a summary of information related to the Series.
Goal of the Series: Building on the Contracts Masterclass Series 1.0, the goal of the Series is to drill deeper into select issues in drafting business agreements. The Series is intended to primarily benefit the in-house attorneys not only in expanding their knowledge base but in how better to communicate with their management and board counterparts. The Series will consist of a lecture on a chosen topic at a session followed by a workshop on the same topic illustrating real world scenarios at the immediately following session.
Speakers: While guest speakers will be invited to lead some of the sessions from time to time, the primary speakers are:
- Dawn Haghighi. Dawn is the Chair of the ACC Network Leadership Council and former Chair of WITH, General Counsel of Murcor Real Estate, an independent board director for Elevate and a recognized thought leader in cybersecurity; board governance; risk management; and diversity, equity, and inclusion. She holds global leadership roles in legal bar, trade, and professional associations and is a community leader and volunteer, which have earned her many awards. She is an adjunct Professor at Loyola Law School and guests lectures at several academic institutions. She is a graduate of the FBI Citizens Academy.
- Jason S. Kim. Jason is a Blank Rome partner and helps companies at key stages of their growth by closing strategic transactions. His practice focuses on representing domestic and foreign companies, financial institutions, funds, and serial entrepreneurs in acquisitions, mergers, and divestitures and related financing and capital raises with special emphasis on cross-border deals. Jason also served as an Adjunct Professor at USC Gould School of Law from 2009 through 2018 and taught International Business Transactions covering the legal principles and practices involved in private business transactions and movement of goods, services, capital, knowledge, and technology across the boundaries of different nation-states.
The Sessions: The Series consists of six sessions, both lecture and experiential workshops, offered over the course of six months as follows:

- Session 3: Risk Allocation (Legal Concepts). [Wednesday, September 11, 2024, from 11 a.m. to 12 p.m. Pacific.]
- Session 4: Risk Allocation (Workshop). [Wednesday, October 16, 2024, from 11 a.m. to 12 p.m. Pacific.]
- Session 5: Default and Remedies (Legal Concepts). [Wednesday, November 13, 2024, from 11 a.m. to 12 p.m. Pacific.]
- Session 6: Default and Remedies (Workshop). [Wednesday, December 11, 2024, from 11 a.m. to 12 p.m. Pacific.]
Course Materials: Corresponding written materials will be provided to the participants a week before each session to allow the participants to preview the subject matters to be covered and be prepared to substantively engage in the question and answer portion of the sessions. At the end of the Series, a virtual binder consisting of the written materials will be provided to serve as a convenient, desktop reference.

She holds global leadership roles in legal bar, trade, and professional associations and is a community leader and volunteer, which have earned her many awards. She is an adjunct Professor at Loyola Law School and guests lectures at several academic institutions. She is a graduate of the FBI Citizens Academy.
Jason S. Kim. Jason is a Blank Rome partner and helps companies at key stages of their growth by closing strategic transactions. Below is a summary of information related to the Series.
Goal of the Series: Building on the Contracts Masterclass Series 1.0, the goal of the Series is to drill deeper into select issues in drafting business agreements. The Series is intended to primarily benefit the in-house attorneys not only in expanding their knowledge base but in how better to communicate with their management and board counterparts. The Series will consist of a lecture on a chosen topic at a session followed by a workshop on the same topic illustrating real world scenarios at the immediately following session.
Speakers: While guest speakers will be invited to lead some of the sessions from time to time, the primary speakers are:
Dawn Haghighi. Dawn is the Chair of the ACC Network Leadership Council and former Chair of WITH, General Counsel of Murcor Real Estate, an independent board director for Elevate and a recognized thought leader in cybersecurity; board governance; risk management; and diversity, equity, and inclusion. She holds global leadership roles in legal bar, trade, and professional associations and is a community leader and volunteer, which have earned her many awards. She is an adjunct Professor at Loyola Law School and guests lectures at several academic institutions. She is a graduate of the FBI Citizens Academy.
Jason S. Kim. Jason is a Blank Rome partner and helps companies at key stages of their growth by closing strategic transactions. His practice focuses on representing domestic and foreign companies, financial institutions, funds, and serial entrepreneurs in acquisitions, mergers, and divestitures and related financing and capital raises with special emphasis on cross-border deals. Jason also served as an Adjunct Professor at USC Gould School of Law from 2009 through 2018 and taught International Business Transactions covering the legal principles and practices involved in private business transactions and movement of goods, services, capital, knowledge, and technology across the boundaries of different nation-states.

Session 5: Default and Remedies (Legal Concepts). [Wednesday, November 13, 2024, from 11 a.m. to 12 p.m. Pacific.]
Session 6: Default and Remedies (Workshop). [Wednesday, December 11, 2024, from 11 a.m. to 12 p.m. Pacific.]
Course Materials: Corresponding written materials will be provided to the participants a week before each session to allow the participants to preview the subject matters to be covered and be prepared to substantively engage in the question and answer portion of the sessions. At the end of the Series, a virtual binder consisting of the written materials will be provided to serve as a convenient, desktop reference.Office Hours: For those who wish to further discuss issues covered in any session, Jason will hold virtual office hours by appointment. The Small Law Department network consists of ACC members who fall into two categories:
- Members who practice in, or are concerned with issues relating to, small corporate law departments. While there is no specific limit, it is expected that most members will practice in departments with between one and five attorneys.
- Members who practice in large departments either as a legal "generalist" or at a remote location with few lawyers.
The network's goal is to develop and explore practice methods by which attorneys in small law departments and generalists in larger departments can most effectively and efficiently provide legal services to their corporate clients.
